1. Agreement to Terms

By accessing or using Ken from Finance ("Service"), operated by Roulette Technologies Pvt Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Ken from Finance is an AI-powered accounts payable automation platform that integrates with Slack to help finance teams process invoices, detect duplicates, validate against contracts, route for approval, and manage payments. The Service includes web-based dashboards, Slack integrations, email ingestion, and related features.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans and Billing

The Service is offered under tiered subscription plans (Solo, Crew, Squad) with monthly billing. Pricing is as listed on our website and may be updated with 30 days' notice. All fees are non-refundable except as described in our Refund & Cancellation Policy.

Free tier: New accounts receive a complimentary evaluation period. Usage during this period is subject to fair-use limits.
Overages: If your invoice processing exceeds your plan's included volume, overage charges apply at the rate specified for your plan.
Payment: We use third-party payment processors. By subscribing, you authorize recurring charges to your chosen payment method.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Upload content that infringes intellectual property rights or contains malware
Attempt to gain unauthorized access to the Service or its related systems
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to store or transmit personally identifiable financial information beyond what is necessary for invoice processing
Resell or redistribute the Service without our written consent

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you upload to the Service ("Customer Data"). We process Customer Data solely to provide and improve the Service. We implement industry-standard security measures to protect your data, including encryption at rest and in transit.

7. AI and Automated Processing

The Service uses artificial intelligence to extract, classify, and validate invoice data. While we strive for high accuracy, AI-generated outputs may contain errors. You are responsible for reviewing and verifying all AI-processed data before acting on it. The Service is a tool to assist your finance team, not a replacement for human judgment.

8. Third-Party Integrations

The Service integrates with third-party platforms including Slack, email providers, and payment gateways. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or policies of third-party services.

9. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Roulette Technologies Pvt Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

11. Limitation of Liability

To the maximum extent permitted by law, Roulette Technologies Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Roulette Technologies Pvt Ltd, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the Service settings. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Service ceases, and we may delete your data after a 30-day grace period.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
